QUEBEC CITY — iA Financial Group (TSX: IAG) has been notified of a new unsolicited mini-tender offer made by Ocehan LLC (“Ocehan”) to purchase up to 50,000 common shares of iA Financial Group, representing approximately 0.05% of the common shares outstanding, at a price of $123.50 per share, representing an aggregate purchase price of less than $7 million.

iA Financial Group cautions shareholders that this offer was made at a price that is significantly lower than recent market prices for common shares of iA Financial Group on the Toronto Stock Exchange (the “TSX”). Ocehan’s unsolicited offer price of $123.50 per share represents a discount of approximately 24.16% to the closing price of iA Financial Group’s common shares on the TSX on November 5, 2025.

It should be noted that mini-tender offers are generally designed to obtain relatively small percentages of a company’s outstanding shares, thereby avoiding the disclosure and procedural requirements applicable to most bids under Canadian securities regulations.
