TORONTO — dynaCERT Inc. (TSX: DYA) (OTCQB: DYFSF) (FRA: DMJ) (“dynaCERT” or the “Company“) is pleased to announce a non-brokered private placement offering of up to 33,333,334 units at a price of $0.15 per unit for aggregate gross proceeds of up to $5,000,000 (the “Offering”). Each unit (each, a “Unit”) will be comprised of one (1) common share of the Company (a “Common Share”) and one (1) common share purchase warrant (a “Warrant”). Each Warrant is exercisable into one (1) Common Share at an exercise price of $0.20 per Warrant for a period of thirty-six (36) months. All dollar values are in Canadian dollars.

The Units to be issued under the Offering will be offered to purchasers pursuant to the listed issuer financing exemption (“LIFE”) under Part 5A of National Instrument 45-106 – Prospectus Exemptions in the provinces of Ontario, British Columbia and Alberta, and in certain other jurisdictions pursuant to applicable securities laws. The Units will not be subject to resale restrictions pursuant to applicable Canadian securities laws. dynaCERT has prepared and filed an offering document (the “Offering Document”) relating to the Offering that can be accessed under the Company’s profile at www.sedarplus.com, as well as on the Company’s website at www.dynacert.com.
