The previously announced effective date of Jim Rudyk’s resignation as Chief Financial Officer (“CFO”) of the Company has been amended to April 10, 2026. AGI’s previously announced CFO search process is underway. To maintain continuity in its finance function until such time as a new CFO is appointed, Nicolle Parker, the Company’s SVP of Finance, will serve as interim CFO effective upon Mr. Rudyk’s resignation. Ms. Parker has developed a comprehensive knowledge of AGI’s financial affairs during her more than twenty-year tenure at the Company.

As previously announced, AGI’s 2026 annual shareholder meeting (the “AGM”) will be held at AGI’s corporate office in Winnipeg on June 4, 2026 at 9:00 am (Central Time). Subject to the approval of the TSX, AGI intends to seek shareholder approval of a new share option plan at the AGM.

The Company has determined to use the notice-and-access regime under applicable Canadian securities laws to deliver the management information circular and other proxy-related materials in connection with the AGM to its registered and beneficial shareholders. The Company believes that notice-and-access is an environmentally friendly and cost-effective method to distribute documents to our shareholders, as it reduces printing, paper use and postage. To comply with the notice-and-access procedures under applicable Canadian securities laws, the Company has updated the record date for the AGM from April 30, 2026 to April 24, 2026.
